Terms of Service for Off-Grid Stay

These Terms of Service ("Terms") constitute a legally binding agreement between you, the user ("User" or "You"), and Off-Grid Stay ("Off-Grid Stay," "We," "Us," or "Our"), governing your access to and use of the website located at offgridstay.com (the "Website") and any related services provided by Off-Grid Stay (collectively, the "Service").

By accessing or using the Website or Service, you signify your unreserved agreement to be bound by these Terms. Should you dissent from any provision contained herein, you are expressly prohibited from accessing or utilizing the Website or Service.

III. USER OBLIGATIONS AND ACCEPTABLE USE

  1. Compliance with Laws: You covenant that your use of the Service shall strictly adhere to all applicable local, state, national, and international laws and regulations.
  2. Prohibited Conduct: Users are expressly prohibited from engaging in the following activities:
  • Utilizing the Service for any unlawful purpose or in furtherance of illegal activities.

IV. INTELLECTUAL PROPERTY RIGHTS

V. DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY

  1. "AS IS" Basis: The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
  2. No Guarantees: Off-Grid Stay does not warrant that the Service will be uninterrupted, secure, or error-free; that defects will be corrected; that the Service is free of viruses or other harmful components; or that the results of using the Service will meet your requirements.
  3. Limitation of Liability: In no event shall Off-Grid Stay, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

VI. TERMINATION

  1. By Off-Grid Stay: We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
  2. By User: You may terminate your use of the Service at any time by discontinuing access to the Website and, if applicable, closing your account.
  3. Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

VII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Off-Grid Stay and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password; or (b) a breach of these Terms.

VIII. GOVERNING LAW

These Terms shall be governed and construed in accordance with the laws of the jurisdiction where Off-Grid Stay is incorporated, without regard to its conflict of law provisions.

IX. MISCELLANEOUS PROVISIONS

  1. Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  2. Entire Agreement: These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements, oral or otherwise, regarding the Service.
  3. Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Off-Grid Stay’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
